Process

A disciplined process, run by a partner.

Every company is different; the discipline that protects value is not. These are the five stages of a Lark Street sell-side engagement, typically completed in six to nine months.

I
Assessment

We study the business, its financials and your objectives, test value against current transactions and identify the issues a buyer will find. You decide whether and when to proceed with a clear view of the likely range.

II
Preparation

We prepare the confidential information memorandum, a defensible financial model and an organized data room, and resolve diligence issues early so they do not become price reductions later.

III
Marketing

We approach a curated list of strategic and financial buyers under non-disclosure, manage management meetings and run the process to a competitive round of indications of interest.

IV
Negotiation

We use competition to improve price and terms together, through to a signed letter of intent, granting exclusivity only to the buyer offering the best combination of value and certainty.

V
Closing

We manage confirmatory diligence, negotiate the purchase agreement alongside your legal counsel, including working capital, escrow and indemnities, and remain engaged through closing and the transition that follows.

Private enquiries

Every engagement begins with a confidential conversation.

There is no obligation. We also welcome introductions from a client’s legal, tax and wealth advisors.
